General Terms and Conditions of Sale and Use

  • Preamble and Scope of Application

    These General Terms and Conditions of Sale and Use (hereinafter "GTC") fully regulate the legal and commercial relationship established between MultiGoods Unipessoal, Lda. (hereinafter "PluriBrands") and any natural or legal person (hereinafter "Customer" or "User") who accesses, browses, registers, or conducts commercial transactions through any of the digital platforms operated under the PluriBrands brand, including the domain pluribrands.com and all its regional and linguistic subdomains, as well as any associated mobile applications or technological extensions.

    MultiGoods Unipessoal, Lda. is a single-member private limited company incorporated under Portuguese law, with its registered office at Rua Santa Marta n.º 118 - Pav. 1, 4750-189 Barcelos, Portugal, registered at the Commercial Registry Office under tax identification number PT513567097, legally authorized to engage in e-commerce activities in all European countries, in compliance with European Union directives and regulations applicable to digital commerce and consumer protection.

    Acceptance of these GTC is an essential condition for using the services provided by PluriBrands. By clicking "I accept the Terms and Conditions", creating a user account, or completing any order, the Customer declares to have read, understood, and accepted these terms in full, including the Privacy Policy, Cookie Policy, and Returns and Exchanges Policy, which constitute complementary and integrated documents to these GTC.

  • Article 1. Definitions and Interpretation

    For the purposes of these GTC, the following definitions apply:

    • Platform: any website, mobile application, or digital interface operated by PluriBrands through which products and services are made available to the public.
    • Customer / User: any natural person aged 18 or over, or legally incorporated legal entity, accessing the Platform for the purpose of purchasing products or using available services.
    • User Account: the digital profile created by the Customer on the Platform, allowing access to order history, management of preferences, and use of exclusive features.
    • Order: a request to purchase one or more products, formalized by the Customer through the Platform, upon payment confirmation.
    • Purchase and Sale Agreement: the legally binding agreement between PluriBrands and the Customer, established at the moment the order confirmation is sent electronically.
    • Product: any tangible good listed in the Platform's catalog and available for order.
    • Price: the value in euros (€) indicated on the product page, including VAT at the rate of the delivery country (B2C) or excluding VAT for companies with a verified NIF/VAT via VIES (B2B); extra-EU exports are invoiced without Portuguese VAT under Article 14 of the CIVA.
    • Virtuous Cycle: PluriBrands' proprietary business model based on shared economies of scale, described in the Brand Philosophy available on the Platform.
    • GDPR: Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data.
    • DRC: Decree-Law no. 84/2021, of October 18, which establishes the legal regime applicable to contracts for the sale of goods with digital elements in Portugal.
  • Article 2. Platform Access and Account Registration

    Access to the Platform and consultation of the catalog are free of charge and available to users aged 16 or older. However, account registration and purchases are restricted to individuals over 18 years of age, in compliance with Portuguese and European legislation regarding legal capacity to enter into contracts.

    Account registration is optional for browsing the catalog, but mandatory for placing orders, participating in loyalty programs, and accessing exclusive promotional conditions.

    During registration, the Customer must provide their date of birth. This element is intended to verify majority and the minimum legal age required for the purchase of certain products, namely alcoholic beverages, the sale of which PluriBrands restricts to individuals over 18 years of age in all markets where it operates. Registration cannot be completed without filling in this field or by anyone under 18 years of age.

    By creating an account, the Customer undertakes to:

    • Provide true, current, and complete information at the time of registration;
    • Provide a true date of birth, declaring, under commitment of honor, that it corresponds to their actual age;
    • Keep access credentials (username and password) confidential and not share them with third parties;
    • Immediately notify PluriBrands in case of suspected unauthorized use of their account via the email address suporte@pluribrands.com;
    • Update personal data whenever relevant changes occur, namely change of address, telephone contact, or email address.

    PluriBrands reserves the right to request proof of the declared age at any time, as well as to refuse, suspend, or cancel the registration or any order whenever there are well-founded doubts regarding the Customer's age or when it does not comply with the legal minimum. Upon delivery of age-restricted products, the presentation of an identification document to the logistics operator may also be required, who may refuse delivery if the recipient fails to prove the required age.

    PluriBrands reserves the right to suspend or cancel accounts of users who violate these General Terms and Conditions (GTC), use the Platform for fraudulent purposes, or provide false or misleading information, particularly regarding age, without prejudice to the exercise of any legal rights to which it is entitled.

    The processing of the date of birth is governed by the Privacy Policy and is intended exclusively for verifying the Customer's age, and is not used for any other purposes.

  • Article 3. Ordering Process and Formation of Contract

    The ordering process on the PluriBrands Platform is structured into clear and transparent stages, in compliance with the pre-contractual information requirements imposed by Directive 2011/83/EU on consumer rights, transposed into Portuguese law by Decree-Law no. 24/2014, of February 14, and its subsequent amendments:

    1. Product Selection: The Customer browses the catalog and adds products to the shopping cart;
    2. Cart Review: The Customer confirms the selected items, quantities, and respective unit prices;
    3. Delivery Data: Entering or confirming the delivery address and selecting the shipping method;
    4. Payment Method: Selection and configuration of the preferred means of payment;
    5. Final Summary: Presentation of a complete order summary with all costs broken down (product, shipping, taxes);
    6. Confirmation: Affirmative action by the Customer by clicking "Place Order" or equivalent.

    The purchase and sale agreement is considered formally concluded at the moment PluriBrands sends the Customer, to the email address provided at registration, the order confirmation containing the reference number, details of the products purchased, the total price, and estimated delivery conditions. This confirmation constitutes proof of the contract and must be kept by the Customer.

    PluriBrands reserves the right to refuse or cancel an order in exceptional situations, namely: manifest price error resulting from a technical failure, stock unavailability verified after confirmation, or reasoned suspicion of fraudulent activity. In any of these cases, the Customer will be notified within a maximum of 48 hours and any amount debited will be refunded in full.

  • Article 4. Prices, Taxes, and Shipping Costs

    All prices displayed on the Platform are expressed in Euros (€). For private customers (B2C), the prices shown always include Value Added Tax (VAT) at the legal rate in force in the country of delivery, in compliance with the VAT e-commerce package rules (EU Directive 2017/2455, in effect since July 1, 2021). For business customers (B2B) with a valid VAT identification number verified through the VIES (VAT Information Exchange System), prices will be presented excluding VAT. Verification is performed automatically by the Platform during registration or checkout; if the VAT number is not certifiable via VIES, the standard B2C regime with VAT included will apply.

    For orders destined for non-EU countries — including, by way of example, the United Kingdom, Switzerland, Norway, Andorra, Monaco, Liechtenstein, and other non-EU countries and territories — exports are carried out under the VAT exemption regime provided for in Article 14 of the VAT Code (CIVA), and prices will be presented and invoiced without Portuguese VAT. MultiGoods Unipessoal, Lda. does not charge or pass on any consumption tax or customs duty relative to the country of destination.

    The shipping price presented at checkout for non-EU destinations includes customs clearance costs and associated documentation charged by the logistics operator. However, any customs duties, import taxes, local VAT, customs fees, or any other fiscal charges required by the tax authority of the destination country are the sole responsibility of the Customer and will be charged directly by the competent authorities of the destination country. MultiGoods Unipessoal, Lda. has no intervention in the collection, assessment, or payment of these taxes and cannot be held responsible for customs withholdings, delays, or additional costs resulting from tax or customs procedures in the destination country.

    Shipping and delivery costs are always fully borne by the Customer. Shipping is charged as a separate item from the product price, calculated automatically during the ordering process and presented individually by logistics operator before final confirmation. PluriBrands does not offer free shipping under any circumstances.

    All shipments are carried out under Incoterm FCA — Free Carrier. Under this Incoterm, PluriBrands' responsibility ceases at the moment the order is delivered to the logistics operator at the origin facilities (PluriBrands warehouse). From that moment, the risk of loss or damage transfers to the Customer, PluriBrands having fully fulfilled its delivery obligation by making the goods available to the carrier in good condition and properly packaged.

    Due to its high transaction volume, PluriBrands negotiates directly with partner logistics operators for the best shipping rates available on the market, passing these commercial advantages on to the shipping prices presented to the Customer. At checkout, the Customer has access to an updated list of logistics operators available for their specific delivery location, with respective rates and estimated lead times, and may freely choose the service that best suits their needs.

    PluriBrands implements a dynamic pricing policy, aligned with its Virtuous Cycle model, which may result in price changes between the moment a product is viewed and its actual placement in the shopping cart. The prevailing price is always the one shown at the time of final order confirmation.

  • Article 5. Payment Methods and Financial Security

    PluriBrands provides the following payment methods, processed through platforms certified with the highest security standards (PCI DSS – Payment Card Industry Data Security Standard):

    5.1. Universal Payment Methods (All Markets)

    The following methods are available in all markets where PluriBrands operates (Continental Europe), processed through PCI DSS certified platforms:

    • Credit and Debit Card: Visa, Mastercard, and American Express, supporting 3D Secure 2.0 for Strong Customer Authentication (SCA), in compliance with the PSD2 Directive.
    • PayPal: Digital wallet with buyer protection, allowing payment via PayPal balance, linked card, or bank account. Widely used in all PluriBrands European markets.
    • Apple Pay: Payment via Apple device with biometric authentication (Face ID / Touch ID). Available on Safari and the iOS app.
    • Google Pay: Google digital wallet for Android and Chrome devices, with PIN or biometric authentication.

    5.2. Local Payment Methods by Market

    PluriBrands provides the following local payment methods, adapted to the preferences and banking infrastructure of each market where it operates:

    🇵🇹 PORTUGAL

    • Multibanco Reference (MBREF): A payment reference generated at checkout, which the Customer can settle at any ATM, through home banking, or a banking app. Valid for 3 business days. Powered by SIBS infrastructure, covering the entire Portuguese banking network.
    • MB WAY: An instant mobile payment solution from the SIBS network, linked to the Customer's mobile number. Immediate confirmation without the need for a physical card.

    🇪🇸 SPAIN

    • Bizum: An instant payment solution linked to the home banking of major Spanish banks (CaixaBank, BBVA, Santander, Sabadell, etc.). Payment is confirmed in seconds directly from the Customer's bank account.
    • Tarjeta (Spanish National Debit Card): Direct debit linked to the Spanish banking system, processed via Visa/Mastercard rails with PSD2/3DS2 confirmation.

    🇫🇷 FRANCE

    • Carte Bancaire (CB): The French national card scheme, the most widely used in France, co-branded with Visa or Mastercard. Accepted as the priority method at checkout for the French market.

    🇩🇪 GERMANY

    • Wero (Germany): As of 2025, the Wero digital wallet from the EPI is in its rollout phase in Germany, supported by banks such as Deutsche Bank, Commerzbank, and Sparkasse. It is the natural successor to Giropay (discontinued on December 31, 2024) and SOFORT (discontinued by Klarna in December 2024). PluriBrands monitors Wero’s adoption and will make this method available as banking penetration warrants.

    5.3. Additional Market Payment Methods

    As part of PluriBrands' European expansion strategy, the following local payment methods are identified as priorities for integration. The legal department shall verify the availability and regulatory framework of each method at the time of activation:

    • iDEAL (Netherlands): Dominant online bank transfer system in the Netherlands (>70% e-commerce share). Integration with Wero for pan-European payments is underway.
    • Bancontact / Mister Cash (Belgium): Belgian national debit scheme used by ~73% of online shoppers. Progressively integrated with Wero via EPI.
    • BLIK (Poland): Dominant mobile payment method in Poland using 6-digit one-time codes. Replacing Przelewy24 (P24) as the preferred method, with over 15 million active users.
    • Przelewy24 / P24 (Poland): Online banking aggregator supporting over 165 Polish banks.
    • PostePay (Italy): Prepaid card and digital wallet from Poste Italiane with over 20 million users. Essential for consumers without traditional credit cards.
    • EPS (Austria): Austrian electronic payment system connecting directly to home banking. Supported by over 140 Austrian banks.
    • Swish (Sweden): Instant mobile payment platform supported by major Swedish banks. The most widely used e-commerce method in Sweden.
    • MobilePay (Denmark / Finland): Leading mobile payment app in Danish and Finnish markets.
    • Vipps (Norway): Norwegian mobile payment app with near-universal adoption.
    • Trustly (Multiple European Markets): Swedish open banking platform facilitating instant bank transfers in over 30 countries via PSD2.

    5.4. Note on Payment Methods

    PluriBrands does not, under any circumstances, store the Customer’s full payment card data. All sensitive financial information is processed directly by certified payment partners, in strict compliance with GDPR and PCI DSS standards. In the event of a suspected fraudulent transaction, PluriBrands reserves the right to request additional identity verification documentation before processing the order.

    The Customer's account is debited at the time of order confirmation. In the event of a payment refusal, the order will be automatically cancelled and the Customer notified by email.

  • Article 6. Delivery and Shipping Times

    Delivery times indicated on the Platform are estimates in working days from payment confirmation, based on the standard performance of partner logistics operators. These estimates do not constitute a binding deadline, unless a guaranteed date is explicitly stated. PluriBrands is not responsible for delays attributable to the carrier after the order has been delivered to their facilities, in accordance with the applied FCA Incoterm.

    For deliveries in Portugal and Spain, PluriBrands provides a set of national logistics operator services at checkout, all with a 48-hour working day timeframe. For all other European countries, home deliveries are handled by DHL and Delnext (an economy service with delivery in 72–96 working hours from Portugal), and pickup point deliveries by DPD Pickup, available at over 70,000 points across Europe. The Customer selects their preferred service directly on the checkout page.

    Note: ✱ = Non-EU Country: invoice without Portuguese VAT; subject to customs clearance. "d" = business days. Delivery times are estimates — the binding timeframe is always the one indicated at checkout at the time of order. Data updated based on negotiated rates and validated with DHL, Delnext, and DPD — review annually or upon contractual change.

    PluriBrands commits to proactively notifying the Customer whenever a delivery delay is detected, in compliance with its Total Transparency policy. This notification will be sent via email and/or SMS, accompanied by an updated estimated delivery time and, when applicable, compensation under the unforeseen circumstances resolution policy.

    Responsibility for the order transfers to the Customer at the moment of physical delivery to the indicated address or upon availability at the selected pickup point, as attested by the carrier's delivery record. Unjustified refusal to receive the order by the Customer does not exempt them from payment obligations.
  • Article 7. Right of Withdrawal and Returns Policy

    7.1 Right of withdrawal
    In accordance with Decree-Law no. 24/2014, of February 14th, and Article 9 of Directive 2011/83/EU, the Customer has the right to withdraw from the sales contract, without needing to indicate any reason, within a period of 14 (fourteen) calendar days from the date of physical receipt of the purchased goods.

    PluriBrands, within the scope of its commercial policy of trust in its customers and products, voluntarily extends this period to 30 (thirty) calendar days from the date of receipt. This extension does not alter the rule for allocating return costs, defined in point 7.4.

    7.2 How to exercise the right — withdrawal function
    PluriBrands provides an online withdrawal function, free of charge and easily accessible, available throughout the entire free withdrawal period. To exercise it, the Customer must:

    1. Access their Customer Area on the Platform and navigate to "My Orders";
    2. Select the "Return" option, choose the items to return, and indicate the reason;
    3. Choose between a refund via the original payment method or the issuance of a credit voucher (processed in a shorter timeframe);
    4. Confirm the request.

    Alternatively, the Customer may communicate their decision through any unequivocal statement (e.g., via email to info@pluribrands.com), and may use the model withdrawal form provided by law, although this is not mandatory.

    7.3 Proof of withdrawal
    After submitting the withdrawal request, PluriBrands shall send the Customer, without undue delay and on a durable medium (via email), an acknowledgment of receipt of the withdrawal. This acknowledgment confirms the exercise of the right and the respective date, from which the return and refund deadlines begin to be counted.

    7.4 Responsibility for return costs
    Return shipping costs are the exclusive responsibility of the Customer in the following cases:

    • Exercise of the right of withdrawal within the legal or voluntarily extended period;
    • Purchase mistake, incorrect product selection, quantity, or variant;
    • Change of preference or change of mind.

    PluriBrands fully assumes the costs of collection and reshipment, at no cost to the Customer, when the cause is attributable to the company, namely:

    • Manufacturing defect or lack of product conformity;
    • Damage occurred during transport under its responsibility or that of the logistics operator it contracted;
    • Shipping error (wrong product, incorrect quantity, or incomplete order due to warehouse failure).

    In these cases, a prepaid return label will be issued and sent to the Customer at no charge.

    7.5 Condition of the returned product
    The returned product must be in its original condition: unused, with all labels and seals intact, packaged in the original or equivalent packaging, and accompanied by all included accessories and documentation.

    PluriBrands reserves the right to refuse the return or to issue a partial refund if the products show clear signs of use, damage caused by the Customer, or absence of original components.

    7.6 Exceptions to the right of withdrawal
    Excluded from the right of withdrawal, for reasons of hygiene and food safety, are food products, dietary supplements, personal hygiene products, and other goods which, by their nature, cannot be returned after opening the packaging, in accordance with Article 17(1)(d) of Decree-Law no. 24/2014.

    7.7 Refund period and processing
    In the event of withdrawal, PluriBrands shall reimburse the Customer within a maximum period of 14 (fourteen) calendar days from the date it is informed of the decision to withdraw (confirmed by the receipt referred to in 7.3).

    PluriBrands may withhold the refund until it has received the returned goods, or until the Customer provides proof of their shipment, whichever occurs first.

    The refund is made using the same payment method used for the purchase, unless the Customer has expressly agreed otherwise (e.g., credit voucher), and without any costs to the Customer.

    The reimbursed amount includes the price of the product. The original shipping costs are only reimbursed when the return is motivated by a manufacturing defect, transport damage, or a shipping error by PluriBrands. In cases of withdrawal, cancellation, or purchase error for which the Customer is responsible, the original shipping costs are not refunded and the return costs are borne by the Customer.

  • Article 8. Legal Warranties and Product Conformity

    All products marketed by PluriBrands benefit from the legal warranties provided under Decree-Law No. 84/2021 and the Sale of Consumer Goods Regime, namely:

    • Legal Warranty of Conformity: A minimum period of 2 (two) years from the date of delivery, during which the Customer may demand repair, replacement, price reduction, or termination of the contract in cases of lack of product conformity.
    • Additional Commercial Warranty: Some suppliers and manufacturers provide their own commercial warranties, the specific conditions of which are indicated on the respective product page.

    A lack of conformity is understood as any defect existing at the time of delivery that prevents the product from functioning as intended or from matching the advertised specifications. In case of a lack of conformity detected within the first 12 months after delivery, it is presumed that the defect existed at the time of delivery, reversing the burden of proof.

  • Article 9. Liability and Limitations

    PluriBrands undertakes to ensure that the information provided on the Platform regarding products (descriptions, technical specifications, images) is accurate and up to date. However, it cannot guarantee the absence of occasional typographical or technical errors and reserves the right to correct them without prior notice, without this constituting grounds for contractual liability.

    PluriBrands shall not be held liable for indirect damages, loss of profits, or losses resulting from:

    • Temporary unavailability of the Platform due to maintenance, technical updates, or third-party failure (infrastructure providers, network operators);
    • Delivery delays caused by strikes, natural disasters, pandemics, government decisions, or other force majeure events;
    • Improper use of products by the Customer in non-compliance with the instructions for use;
    • Unauthorized access to the Customer's account due to the Customer's negligence in safeguarding their credentials.

    PluriBrands' maximum liability to any Customer, for any cause, is limited to the total amount paid by the Customer for the order(s) under dispute, without prejudice to mandatory legal consumer protection provisions.

  • Article 10. Intellectual Property

    All content available on the Platform, including but not limited to texts, articles, photographs, illustrations, logos, registered trademarks, videos, graphic interfaces, source code, databases, and any other material or digital content, are the exclusive property of MultiGoods Unipessoal, Lda. or are used under license from the respective owners, and are protected by Portuguese and international intellectual property laws, namely the Industrial Property Code and the Copyright and Related Rights Code.

    The total or partial reproduction, distribution, public communication, transformation, transmission, commercialization, or any other form of exploitation of the Platform's content, by any means or support, is expressly prohibited without prior written authorization from PluriBrands. The violation of this provision constitutes a civil and criminal offense, liable for responsibility for resulting damages.

  • Article 11. Loyalty Program and Marketing Communications

    PluriBrands offers a loyalty program that allows the Customer to accumulate credits, discounts, and exclusive benefits based on the volume of purchases made on the Platform. Membership in the program is voluntary and free of charge, and its specific conditions are available on the Platform and may be amended with 30 days' prior notice.

    The sending of commercial communications (newsletters, promotions, product alerts) is subject to the Customer's express consent, given at the time of registration or at any subsequent time via their account communication preferences. The Customer may revoke this consent at any time, free of charge, via the unsubscribe option included in each communication or in their account settings.

  • Article 12. Dispute Resolution and Governing Law

    These GTC are governed by and interpreted in accordance with Portuguese law, without prejudice to the mandatory consumer protection provisions of the Member State where the Customer resides, whenever these grant a higher level of protection.

    In the event of a dispute arising from the interpretation or execution of these GTC, the parties undertake to attempt an amicable resolution. For this purpose, the Customer may contact PluriBrands Customer Service at suporte@pluribrands.com.

    Pursuant to Decree-Law No. 144/2015 of September 8 and Regulation (EU) No. 524/2013 on online dispute resolution, the Customer has the right to resort to Alternative Dispute Resolution (ADR) entities. To this end, the Customer may access the European online dispute resolution platform at http://ec.europa.eu/consumers/odr/, as well as the CNIACC – National Center for Consumer Conflict Information and Arbitration (www.arbitragemdeconsumo.org).

    Without prejudice to the above, and having exhausted alternative means of resolution, the parties agree to submit disputes to the competent Portuguese courts, with the Barcelos District Court designated as the court of appeal for the purposes of these GTC.

  • Article 13. Amendments to GTC and Communication

    PluriBrands reserves the right to amend these GTC at any time, namely to reflect legislative changes, internal policy updates, the introduction of new services, or the correction of inaccuracies. Substantial changes will be communicated to the Customer at least 30 days in advance via email and/or through a visible notice on the Platform.

    Continued use of the Platform or placing a new order after the updated GTC come into effect will constitute acceptance of the new conditions. The archive of previous versions of the GTC will be available on the Platform upon request.
